1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the BhashaLab platform, website at www.bhashalab.com, and all related courses, programmes, competitions, content, and services (collectively, the "Services") offered by Shikshodhan Private Limited ("Shikshodhan", "BhashaLab", "we", "us", or "our"), a company incorporated under the Companies Act, 2013, with its principal place of business in Thane and Mumbai, Maharashtra, India.

By accessing or using our website or Services, or by clicking "I Agree" or completing a registration, you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.

If you are a parent or guardian registering on behalf of a minor, you agree to these Terms on behalf of both yourself and the minor, and you accept responsibility for the minor's use of the Services.

If you do not agree to these Terms, please immediately discontinue your use of the website and Services.

2. About BhashaLab and Our Services

BhashaLab is a language education platform offering NEP 2020-aligned language courses and programmes online and offline across India. Our Services include:

Self-paced online credit courses for school students, college students, postgraduates, working professionals, and competitive exam aspirants;
Offline language programmes delivered at partner schools and colleges in Thane and Mumbai;
Course-related study materials, PDF notes, and bilingual content books available for purchase;
Language competitions including the Language Intelligence Champ;
Free educational content published on our website and YouTube channel;
Institutional partnership programmes for schools and colleges under NEP 2020.

3. Eligibility and Registration

3.1 Age and Eligibility

Our Services are open to users of all ages. However:

Users under the age of 18 must have the consent of a parent or guardian to register and use our paid Services.
Users under the age of 13 must be registered directly by a parent or guardian, who will be the account holder.
Students enrolled through an institutional partner are governed by the terms of the relevant Memorandum of Understanding (MoU) between BhashaLab and the institution.

3.2 Account Registration

To access certain Services, you may be required to create an account. You agree to:

Provide accurate, current, and complete information during registration;
Maintain and update your account information as necessary;
Keep your login credentials confidential and not share them with others;
Notify us immediately at info@bhashalab.com if you suspect any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

4. Courses, Enrolment, and Access

4.1 Course Enrolment

When you enrol in a BhashaLab course, you are purchasing access to the course content for the duration specified at the time of enrolment. Course access is personal and non-transferable. You may not share your login credentials or course access with any other person.

4.2 Self-Paced Online Courses

Self-paced online courses must be completed within the stipulated timeframe communicated at enrolment. BhashaLab does not guarantee indefinite access to course content beyond the stated access period. We reserve the right to update, modify, or retire course content with reasonable notice.

4.3 Offline Programmes

Offline programmes are delivered at partner institutions in Thane and Mumbai. The schedule, attendance requirements, and delivery format for offline programmes are communicated at the time of enrolment. BhashaLab reserves the right to modify session schedules in consultation with the relevant institutional partner.

4.4 Academic Credits and APAAR ID

BhashaLab courses are designed in alignment with NEP 2020 and are structured to be eligible for academic credit award by institutional partners. Please note the following:

BhashaLab is not itself a credit-issuing body. Academic credits are awarded by your school or college, not by BhashaLab.
BhashaLab will conduct assessments, generate marks reports, and submit them to your institutional partner. Your institution will then determine whether to award academic credits based on those marks.
The transfer of credits to the Academic Bank of Credits (ABC) against your APAAR ID is facilitated by your institution. BhashaLab is not responsible for delays or decisions made by your institution in this regard.
Provision of your APAAR ID is voluntary. If you choose to provide it, it will be used solely for the purposes of credit facilitation and handled in accordance with our Privacy Policy.

4.5 Certificates

On successful completion of a BhashaLab course and meeting the minimum assessment requirements, you will receive a BhashaLab certificate of completion. Certificates are issued digitally and are the property of BhashaLab. We reserve the right to revoke a certificate if it is found that it was obtained through dishonest means.

5. Payments, Pricing, and Refunds

5.1 Pricing

Course fees, material costs, and competition registration fees are as displayed on the website at the time of purchase. BhashaLab reserves the right to modify pricing at any time. Changes in pricing will not affect orders already confirmed and paid for.

5.2 Payment

All payments are processed through secure third-party payment gateways. BhashaLab does not store your payment card details. You are responsible for any applicable taxes on purchases made through the website.

5.3 Institutional Payments

Where courses are purchased by an institutional partner on behalf of students, payment terms are governed by the MoU between BhashaLab and the institution. Bulk pricing and institutional rates are subject to separate written agreements.

5.4 Refund Policy

Our refund policy varies by product and delivery type:

Online courses: You are entitled to a full refund if requested within 14 days of purchase, provided you have not yet attempted any assessment within the course. No questions asked. Refunds will be processed within 5 business days of the request.
PDF notes, content books, and other digital downloads: Non-refundable once accessed or downloaded.
Competition registration fees: Non-refundable once the registration period has closed.
Offline programmes: Refund terms are governed by the individual Memorandum of Understanding (MoU) between BhashaLab and the relevant institutional partner.
Institutional course purchases: Refund terms are governed by the individual MoU between BhashaLab and the institution.

6. Competitions and Events

BhashaLab organises language competitions including the Language Intelligence Champ and other similar events. By registering for a competition, you agree to the following:

Registration details including name, school or college name, grade, and contact information will be collected and used in accordance with our Privacy Policy.
Competition entries and results may be published on our website, social media, and marketing materials. We will not publish personal contact details without consent.
BhashaLab's decisions regarding competition results, scoring, and prizes are final.
Prizes, where applicable, will be distributed as described in the competition guidelines. BhashaLab reserves the right to modify prize structures with notice.
Participants found to have used unfair means will be disqualified, and BhashaLab reserves the right to revoke prizes already awarded.
For minor participants, registration must be completed by a parent, guardian, or authorised school representative.

7. Intellectual Property

7.1 BhashaLab Content

All content on the BhashaLab platform and website — including but not limited to course videos, lesson materials, PDF notes, bilingual books, assessment questions, website text, graphics, logos, and the Language Intelligence framework — is the intellectual property of Shikshodhan Private Limited and is protected under applicable Indian intellectual property laws.

You are granted a limited, personal, non-exclusive, non-transferable licence to access and use the content solely for your own learning purposes. You may not:

Copy, reproduce, redistribute, or republish any BhashaLab content without written permission;
Use course content for commercial purposes or to create competing products;
Share login credentials or course access with others;
Record, screen-capture, or download video content from our platform;
Remove or alter any copyright, trademark, or other proprietary notices.

7.2 User-Generated Content

If you post, submit, or share any content on our platform (including forum responses, competition submissions, or feedback), you grant BhashaLab a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce such content in connection with our Services and marketing. You retain ownership of your content, and we will not use it commercially without your consent.

7.3 YouTube and Social Media Content

Video content published by BhashaLab on YouTube and other social media platforms is subject to the terms of those platforms in addition to these Terms. You may not download, redistribute, or use BhashaLab video content for commercial purposes without written permission.

8. Institutional Partners

Schools, colleges, and other educational institutions that partner with BhashaLab enter into a formal Memorandum of Understanding (MoU) that governs the specific terms of the partnership. These Terms apply to institutional partners to the extent that they use our website or platform. In the event of any conflict between these Terms and a signed MoU, the MoU shall prevail for matters specific to the institutional relationship.

Institutional partners are responsible for:

Obtaining appropriate consent from students and parents or guardians prior to enrolment;
Ensuring students are informed of and comply with these Terms;
Handling student marks and credit award decisions in accordance with applicable regulatory requirements.

9. Acceptable Use

By using our Services, you agree that you will not:

Use the platform for any unlawful purpose or in violation of any applicable law or regulation;
Impersonate any person or entity or misrepresent your affiliation;
Attempt to gain unauthorised access to any part of our platform or systems;
Interfere with or disrupt the operation of the website or the experience of other users;
Submit false or misleading information, including during assessments or competitions;
Engage in academic dishonesty, including sharing assessment answers or using unauthorised assistance;
Transmit spam, unsolicited messages, or harmful code of any kind;
Harass, abuse, or threaten other users or BhashaLab staff.

BhashaLab reserves the right to suspend or permanently terminate access to any user who violates these standards, without refund.

10. Disclaimer of Warranties

BhashaLab provides its Services on an "as is" and "as available" basis. While we strive to maintain a high standard of course quality and platform reliability, we do not warrant that:

The platform will be uninterrupted, error-free, or free from technical issues;
Course content will meet every individual learner's specific requirements or expectations;
Completion of a BhashaLab course guarantees a particular academic or career outcome;
Third-party services or links referenced on our platform are accurate or reliable.

Nothing in these Terms excludes or limits any rights you may have under applicable Indian consumer protection laws.

11. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Shikshodhan Private Limited's total liability to you for any claim arising out of or in connection with these Terms or our Services shall not exceed the amount you paid for the specific course or service giving rise to the claim.

We shall not be liable for any indirect, incidental, or consequential loss or damage arising from your use of, or inability to use, our Services, including loss of data, loss of academic opportunity, or any reliance placed on information provided on our platform.

12. Indemnification

You agree to indemnify, defend, and hold harmless Shikshodhan Private Limited, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

Your breach of these Terms;
Your use of the Services in a manner not authorised by these Terms;
Any content you submit or post on our platform;
Your violation of any applicable law or the rights of any third party.

13. Privacy

Your use of our Services is also governed by our Privacy Policy, available at www.bhashalab.com/privacy-policy. The Privacy Policy is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your personal information as described in the Privacy Policy.

14. Modifications to Services and Terms

BhashaLab reserves the right to modify, suspend, or discontinue any part of its Services at any time, with reasonable notice where practicable. We also reserve the right to update these Terms at any time. Updated Terms will be posted on the website with a revised effective date. Your continued use of the Services following any update constitutes your acceptance of the revised Terms. We recommend reviewing these Terms periodically.

15. Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have breached these Terms. Upon termination:

Your right to access course content will cease immediately;
Any outstanding assessments or competition entries may be voided;
Refunds will not ordinarily be issued in cases of termination for breach.

16. Force Majeure

Shikshodhan Private Limited shall not be liable for any failure or delay in the performance of its obligations under these Terms arising from circumstances beyond its reasonable control, including but not limited to natural disasters, floods, fire, pandemic, acts of government, power failures, internet outages, or civil unrest.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Thane, Maharashtra, India.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
